TERMS & CONDITIONS OF SALE

​​1. Definitions

In these Terms & Conditions:

  • “Company” means Only Boards Ltd trading as Only Boards.

  • “Customer” means the person, company or organisation purchasing Goods or Services from the Company.

  • “Goods” means all products supplied by the Company, including but not limited to foamex boards, correx®, ACM-Dibond, acrylic signage, vinyl graphics, PVC banners, mesh banners, safety signs and printed materials.

  • “Services” means design, print, production, installation, delivery or related services supplied by the Company.

  • “Contract” means any agreement between the Company and the Customer for the supply of Goods or Services.

  • “Writing” includes email and digital communication.

 

2. Basis of sale

2.1 All orders are accepted subject exclusively to these Terms & Conditions.

2.2 Any quotation issued by the Company is valid for 30 days unless otherwise stated.

2.3 No variation to these Terms shall be binding unless agreed in writing by the Company.

2.4 The Customer is responsible for ensuring the accuracy of all artwork, specifications, measurements, quantities and information supplied.

2.5 The Company reserves the right to refuse any order at its discretion.

 

3. Orders & artwork approval

3.1 Orders are considered confirmed once:

  • written approval is received,

  • payment/deposit is made where applicable,

  • and artwork approval has been given by the Customer.

3.2 The Customer is fully responsible for:

  • spelling,

  • grammar,

  • dimensions,

  • colours,

  • layout,

  • and final approval of artwork.

3.3 Once artwork has been approved, the Company accepts no responsibility for errors identified afterwards.

3.4 The Company may refuse artwork that:

  • infringes intellectual property rights,

  • contains unlawful material,

  • or breaches advertising or safety regulations.

3.5 The Customer warrants that all supplied artwork, logos, images and content may legally be reproduced.

3.6 The Customer shall indemnify the Company against any claims relating to copyright, trademark or intellectual property infringement arising from materials supplied by the Customer.

 

4. Pricing

4.1 All prices are exclusive of VAT unless otherwise stated.

4.2 Delivery, installation and specialist packaging may be charged separately.

4.3 Prices may be adjusted where:

  • material costs increase,

  • specifications change,

  • quantities change,

  • or incorrect information was supplied by the Customer.

4.4 The Company reserves the right to correct typographical or pricing errors.

 

5. Payment terms

5.1 Unless otherwise agreed in writing:

  • new customers must pay in advance,

  • custom printed products require payment before production.

5.2 Approved credit account customers must pay within agreed credit terms.

5.3 The Company reserves the right to suspend work or delivery where payment is overdue.

5.4 Late payments may incur:

  • statutory interest under the Late Payment of Commercial Debts legislation,

  • debt recovery costs,

  • and suspension of future supply.

5.5 Ownership of Goods remains with the Company until full payment has been received.

 

6. Production & colour variations

6.1 The Company will make reasonable efforts to match colours and finishes.

6.2 Due to differences in:

  • materials,

  • printers,

  • laminates,

  • lighting,

  • and screen displays,

exact colour matching cannot be guaranteed.

6.3 Slight variations in colour, size, finish or positioning shall not constitute defects.

6.4 Samples, mock-ups and digital proofs are representative only.

 

7. Delivery

7.1 Delivery dates are estimates only and are not guaranteed unless agreed in writing.

7.2 The Company shall not be liable for delays caused by:

  • couriers,

  • suppliers,

  • weather,

  • force majeure events,

  • or circumstances beyond reasonable control.

7.3 Risk passes to the Customer upon delivery or collection.

7.4 The Customer must inspect Goods upon delivery and notify the Company within:

  • 48 hours for damage,

  • 7 days for defects or shortages.

7.5 Failed deliveries caused by the Customer may incur additional delivery charges.

 

8. Installation

8.1 Where installation services are provided:

  • the Customer must ensure safe and suitable access,

  • appropriate permissions,

  • and structural suitability.

8.2 The Company shall not be responsible for:

  • hidden structural issues,

  • pre-existing damage,

  • or unsuitable surfaces.

8.3 Additional works outside the agreed scope may incur extra charges.

 

9. Returns & refunds

9.1 Due to the custom nature of printed products, bespoke Goods are non-returnable and non-refundable unless defective.

9.2 Non-custom stock items may only be returned with prior written approval.

9.3 Approved returns must:

  • be unused,

  • in original packaging,

  • and returned at the Customer’s cost.

9.4 The Company reserves the right to apply restocking charges.

 

10. Warranty & liability

10.1 The Company warrants that Goods will be supplied with reasonable skill and care.

10.2 The Company’s liability is limited to:

  • replacement,

  • repair,

  • or refund of defective Goods at its discretion.

10.3 The Company shall not be liable for:

  • indirect losses,

  • loss of profits,

  • business interruption,

  • installation costs by third parties,

  • or consequential damages.

10.4 Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence,

  • fraud,

  • or liabilities that cannot legally be excluded.

 

11. Force majeure

The Company shall not be liable for delays or failure caused by events beyond reasonable control including:

  • supplier shortages,

  • machinery breakdown,

  • strikes,

  • transport disruption,

  • natural disasters,

  • power failures,

  • or governmental restrictions.

 

12. Intellectual property

12.1 All designs, concepts, proofs and creative work produced by the Company remain the intellectual property of the Company unless otherwise agreed in writing.

12.2 The Company may use photographs or examples of completed work for portfolio and marketing purposes unless the Customer requests otherwise in writing.

 

13. Cancellation

13.1 Orders for custom printed products cannot be cancelled once production has started.

13.2 If cancellation is accepted, the Customer shall pay for:

  • completed work,

  • materials ordered,

  • design time,

  • and any incurred costs.

 

14. Data protection

The Company processes personal data in accordance with applicable UK data protection legislation and its Privacy Policy.

 

15. Governing law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
